EVEN WYOMING LLCS HAVE ACCOUNTING OBLIGATIONS – AND IT’S MORE THAN JUST A ZERO-TAX PROMISE.

Wyoming does not charge income tax at the state level, and your foreign-owned LLC may not owe U.S. federal tax either. But that doesn’t mean your company is exempt from all compliance. If you have an EIN and operate as a foreign-owned disregarded entity or a partnership, you must file IRS forms such as 5472, 1120 or 1065.

In addition, Wyoming LLCs must pay the annual Franchise Tax (called the Annual Report License Tax) and maintain good standing with the state. The reporting is minimal — but missing a deadline can result in penalties or even administrative dissolution.
